Terms of Service

1. Acceptance of Terms

By accessing or using the Zoplax ERP platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including users who are customers, trial users, or registered businesses.

Zoplax Technologies ("we", "our", or "Zoplax") reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes your acceptance of the new Terms.

2. Description of Service

Zoplax is a cloud-based Enterprise Resource Planning (ERP) software platform designed for Indian small and medium businesses. The Service includes modules for inventory management, sales and purchase management, accounting, HR and payroll, manufacturing, logistics and related business functions.

We reserve the right to modify, suspend or discontinue any part of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension or discontinuance of the Service.

3. User Accounts

3.1 Registration Requirements

To use the Service, you must register for an account by providing accurate, complete and current information. You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your business.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account. Notify us immediately at support@zoplax.in if you suspect any unauthorised use of your account.

3.3 One Account Per Business

Each business entity may maintain one active Zoplax account. Multiple accounts for the same business entity are not permitted without express written consent from Zoplax.

4. Free Trial

Zoplax offers a 30-day free trial for new accounts. No payment information is required to start a trial.

• The trial period begins on the date your account is created.
• All features available in the selected plan are accessible during the trial.
• At the end of the trial period, your account will be suspended if no subscription is activated.
• Your data will be retained for 30 days after trial expiry to allow you to subscribe and restore access.
• After 30 days post-trial with no subscription, your data may be permanently deleted.

5. Subscription & Billing

• Zoplax offers monthly and yearly subscription plans. Prices are displayed in Indian Rupees (INR) inclusive of applicable taxes.
• Payments are processed by Razorpay. By subscribing, you authorise Razorpay to charge your payment method on the billing cycle you choose.
• Subscriptions auto-renew at the end of each billing period unless cancelled.
• You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
• We reserve the right to change pricing with 30 days notice. Existing subscribers will be notified by email.

6. Data & Privacy

• Your business data belongs to you. We process it only to provide the Service.
• We never sell, rent or share your data with third parties for marketing purposes.
• Data is stored on secure AWS servers. We employ encryption in transit and at rest.
• You can export your data at any time from within the application.

7. Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful, fraudulent or deceptive activity
• Violate any applicable Indian or international law or regulation
• Upload malicious code, viruses or any other harmful software
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Use the Service to send spam or unsolicited communications
• Abuse the Service in a way that disrupts access for other users
• Circumvent any security measures of the Service

8. Intellectual Property

The Zoplax platform, including all software, design, features, and content created by Zoplax Technologies, is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your business operations during your subscription period.

You retain all ownership rights to your business data. By using the Service, you grant Zoplax a limited licence to process your data solely for the purpose of providing the Service.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time from within your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until the end of the period you have paid for.

9.2 Termination by Zoplax

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Zoplax Technologies shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising from your use of the Service.

Our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid to us in the three months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
